Constitution and Bylaws for SEED Club
CONSTITUTION AND BYLAWS
Clarion University’s SEED Club
(Studying, Exploring, Engaging, Discipleship)
Article I: Name
The organization name will be known as SEED Club (Studying, Exploring, Engaging, Discipleship)
Article II: Purpose
The purpose of SEED Club is to provide opportunities for Christian fellowship, growth, ministry and mission. We
reach out to students, staff and faculty on campus and into the community to minister through speakers, events,
concerts, workshops, service projects and much more, encouraging Christian fellowship and discipleship.
Article III: Membership
Section III.A:
Membership is available in two different, but important levels: active membership and support
membership as defined in sections A.1 and A.2 (see below.)
o A.1: Active Membership is defined by the following:
Restricted to all currently enrolled students of Venango College of Clarion University and
the SEED Club Advisor.
An active member is a person in good standing when he or she are maintaining at least
six credits and have a minimum overall 2.00 GPA (exception being new students without
any academic history.)
A person is an active member when maintaining regular attendance at club meetings
and participation in fundraisers and events.
o A.2: Support Membership is defined by the following:
A support member is a person who wants to receive communication about the club, lift
the club up in prayer, attend on occasion and support the club as they are able. Current
students, faculty, staff, family of current students and community members may
become support members without voting privileges.
Article IV: Officers, Nominations and Elections
Section IV.A:
The main officers shall be President, Vice-President, Secretary and Treasurer. A supporting office position
shall be Member-At-Large.
Section IV.B:
Nomination and Election of Officers
o Active members shall elect four main officers by nomination, to be voted upon with simple
majority to serve as officers for a one year term.
o This shall happen in the spring semester for the following academic year. If no officers are
elected, they may be elected at the latest in the fall. Elected officers must receive simple
majority.
o Nominations cannot be made by one’s self for an office position, but by active members.
o Voting shall be conducted by the President via a written ballot, supervised by the advisor. They
will be checked by the advisor and they will inform the club of the results.
o The club Advisor will have an opportunity to interview all candidates and will be permitted to
speak to voting members prior to election about qualification of candidates.
o Past officers will help the new officers in the duties.
o The club shall select an officer to represent the club on the Student Senate if the President
cannot serve.
Article V: Duties of Officers

Section VI.A:
The President shall be considered the presiding officer at all functions and conduct the meetings of SEED
Club Any and all events under the club’s authority will be approved via this officer to assure it is dispersed
properly to said members. This officer will be the beacon for recruitment and inform perspective
members of joining with support from the remaining officers. This office will also be responsible for
coordination of fundraisers and any campus and/or community oriented events but isn’t required to be
the chair of the events. For this reason, the club President serves as the representative at Student Senate
meetings. Any meetings requiring attendance at Student Senate functions will be the responsibility of this
officer to be present at the event, if this elected member cannot fulfill this particular duty, it may be
assigned to another officer. Other duties as needed or assigned by Advisor.
Section VI.B:
The Vice President will serve as partner to the President filling in whenever the President is absent or
unable to fulfill their duties. Other duties as needed or assigned by Advisor.
Section VI.C:
The Secretary shall keep minutes and records of each meeting and event. They will inform the members
of upcoming events with emails and/or newsletters, etc. Other duties as needed or assigned by Advisor.
Section VI.D:
The Treasurer will be accountable for tracking, recording and depositing all club funds to an account in the
club’s name and provide a copy of those transactions at any official meetings to the membership. Any
concerns with the funds will be brought up to the blub as a whole and decisions will be made as a club
about what to use the money on and what fundraisers we can do. Other duties as needed or assigned by
Advisor.
Section VI.E:
The Member-At-Large is not a main office position and does not need to be filled. The club may choose to
elect a Member-At-Large by majority vote. The Member-At-Large will represent and be accountable to
the club, keeping the club informed about the officer meetings. Without specific duties, they will take
direction from and make recommendations to officers and support them in small tasks as assigned.
Article VI: Meetings
Regular meetings will be held as seen fit by the club at least once per week during the semester. Times will be
determined by the club body each semester. The club shall be guided in its procedures by Robert’s Rules of Order,
latest edition, when no other rules have been specifically established in the by-laws or constitution.
Article VIII: Source of Power
The source of power of this club is the President of Clarion University of Pennsylvania, the legal representative of
the Board of Trustees, who delegates powers as are appropriate to the Student Senate, which recognizes each
blub to conduct its power business. In accepting this constitution, Clarion University’s SEED Club agrees to abide by
the University’s policies and regulations, which apply to students and student clubs.
Article IX: Amendments and Ratification
The constitution shall be ratified with approval by the Advisor and by a majority vote of all active members at a
meeting with a minimum of 3 active members and 2 officers.
