Constitution
Name.
Sec. I. This Association shall be called the South Western Normal
of Pennsylvania.
Object.
Sec. II. The object of this Association shall be the establishment
Normal at the Borough of California, Washington Co. Penn. in which shall be taught a Course of Study, consisting of the English Branches, the Natural Sciences, the Mathematics, the Languages, Music and the Science and Art of Teaching.
Powers.
Sec. III. The persons whose names are annexed to the following Petition, and all others who shall associate here after with them, shall be a body politic and corporate by the above name and title and by that name shall have and enjoy perpetual succession; and be able to sue and be sued, plead and be impleaded in all courts of law and elsewhere; and shall be capable in Law and Equity, to take purchase hold and receive to them and their successors and assigns lands, tenements, goods, chattels, and sums of money by gift devise or otherwise and the same to sell mortgages or convey as the said corporation shall deem proper; and to receive and make deeds, conveyances, contracts and assurances; and to make and use a common seal, under and by which all deeds, assurances and acts of said corporation shall pass and be authenticated and generally to do all things which may be lawful or necessary for the well being and proper management of said corporation.

Sec. IV. The capital stock shall not exceed Fifty Thousand Dollars and shall consist of shares of Twenty Five Dollars each. The corporation shall have power to borrow money not exceeding Ten Thousand Dollars which may be secured by bond and mortgage on the real estate of the corporation.

Sec. V. For the purpose of payment, each share of stock subscribed before the first day of December 1864, shall be divided into four parts: one part to be paid on the twentieth of Dec.1864, and another part the twentieth of June succeeding and so on:- one part the twentieth of December and June till all is paid. The payment of subsequently subscribed stock such be made in such part and at such times as the Board of Trustees shall determine.

Sec. VI. The pecuniary affairs of this corporation shall be managed and the general control, educational and otherwise, exercised by a Board of Trustees, fifteen in number, whose officers shall be a President, Vice President and Secretary, who shall, and a Treasurer who shall not be a member of said Board. These offices and trustees shall be elected annually on the first Monday of May of each year, except the present year of 1864, the election shall be held on the first Monday of June for said year.
These officers and trustees shall be elected from among the stockholders, and no stockholder shall be entitled to no more than five votes. Should there be any neglect or failure to elect trustees at the time above designated, the President may call a special election at any other time by giving ten days notice and the officers before elected shall continue to serve until others are elected. Should a vacancy at any time occur, the President shall call an election in the above manner to fill said vacancy.
Sec. VII. The said corporation shall have full power to make all necessary Rules, Regulations and By-Laws for the better government and management of the said corporation, and the same shall be recorded in a book kept by the Secretary for that purpose.

Sec. VIII The President, or in his absence, the Vice President shall preside at all meetings of the stockholders or Board of Trustees, call meetings of the Trustees or Stockholders when the same shall be necessary, and give casting vote in case of a tie vote.

Sec. IX. The Secretary shall keep a fair record of all the proceedings of the corporation.

Sec. X. The Treasurer shall keep safe all money belonging to the corporation and disburse the same on the order of the President, countersigned by the Secretary under seal of the corporation.
Sec. XI. The Board of Trustees shall meet on the first Monday of each month for the transaction of business; and any five members of said Board shall constitute a quorum.

The Petition of the undersigned, citizens of the State of Pennsylvania, respectfully represents that they are about to associate together for the purpose of establishing an Institution of Learning at the Borough of California, Washington Co. Penn. and for this they respectfully pray that they may be incorporated by your Honors under the provisions of an act of Assembly for such cases , made and provided, according to the Articles of Association hereunto prefixed.
