THE CONSTITUTION OF THE ASSOCIATION OF GRADUATE BUSINESS STUDENTS Clarion University of Pennsylvania Clarion, Pennsylvania Article 1. Name The formal name of this organization shall be the Association of Graduate Business Students, but the organization shall also be known as AGBS. Article 2. Section 1. Purpose The primary purpose of AGBS is to provide support to all current MBA students at Clarion University. This is to be accomplished on an academic, professional, and social level. AGBS aims to encourage interaction between MBA students and other Clarion University students interested in the fields of business. Membership Membership is open to all persons who are currently enrolled in the MBA program at Clarion University. A willing member of Clarion University’s College of Business Administration faculty shall be invited by the executive officers to serve as an advisor to AGBS. Executive Officers The Executive officers shall consist of a president, vice-president, treasurer, secretary, public relations, and fundraising. Officers shall be appointed during the last month of the spring semester. To be eligible to run for office an individual must be a member and plan to be enrolled in the MBA program at Clarion University The duties of the offices shall be as follows: 1. President: The president shall preside over all meetings of AGBS and provide leadership to achieve the purposes and goals of the organization. 2. Vice-President: The vice-president shall assume all responsibilities of the president in his/her absence. 3. Treasurer: The treasurer shall keep a record of all financial activities of AGBS. 4. Secretary: The secretary shall keep record of meetings, activities, and correspondence of AGBS. Additionally, the secretary will be responsible for managing and updating the constitution as seen fit. 5. Public Relations: The public relations chairman shall be responsible for notifying the membership and the Clarion University community of upcoming events organized by AGBS. 6. Fundraising: The fundraising chairman shall be responsible for organize/administrator fundraising activities. Role of the Faculty Advisor Section 1. Section 2. Section 3. Article 6. Section 1. An advisor from the faculty of the College of Business Administration shall be chosen on the basis of his/her willingness to assist AGBS. The advisor shall offer advice and assist the executive officers to encourage fulfillment of their duties. The advisor shall have no voting power within AGBS. Meetings AGBS shall have no meeting due to the majority of MBA students being enrolled online. Any necessary meeting will be subject to executive board ruling. When a meeting for voting purposes is deemed practical by the president of AGBS, voting members shall be able to electronically mail in their votes. Only members currently enrolled in the MBA program shall have voting rights. A minimum of 25% of the voting members shall be required as a quorum in the event of a vote. Finances and Funding AGBS will also generate finances through fundraising activities. If funding is found necessary it will be requested from the Clarion University Student Senate. Officers reserve the right to instate membership dues to raise funds for the organization. Amendments Amendments may be proposed by any member and submitted in writing to the president for discussion with the advisor. A proposed amendment shall then be given to the membership to vote on. A two-thirds majority shall be necessary to adopt any amendment. All amendments must be approved by the Clarion University Student Senate. Ratification The constitution shall be ratified by a two-thirds majority of the voting members of AGBS.
